How far apart are you? I mean in real world. If you're trying to connect to Australia from Norway, it might be an issue.
Other than that, try if you can meet in one instance. Set a meeting in some station and see if you can "see" one another. If not, try meeting in supercruise, then back to the station. Maybe try it with different people, too. If you're repeatedly unable to end up in one instance, it would suggest serious networking issues of one of you.

Just to check - Are you both in the same mode (Open) or the same private group?
If in Solo you won't be able to connect. If in mixed you won't be able to connect.
Easiest way to check is to add them as a friend (main menu -> Friends and private groups) then when it's confirmed and they appear in the 2nd tab of the contacts panel (top left of HUD) check the galaxy map.
If they are in the same mode and online there will be a green icon showing their location. If the green icon is not there then something isn't right.
If you are friends, playing in the same mode, the green icon is there but it's still unreachable then it's something with the networking as Chris said, maybe look at some of the guides to configuring your router. Some (like my university router) decide to block user -> user connections which is rather infuriating.

I am having the same issue, friend is in same private group, I see him on map and still says unreachable.
Check your Xbox Network configurations for NAT Mode = 'Open'
